Terms of Service

Acceptable Use

Use the Service only for lawful business purposes. You agree not to:

• attempt to reverse engineer, scrape, probe, scan, or disrupt the Service;
• upload malware or attempt unauthorized access;
• use the Service to violate others' rights or misuse confidential information; or
• misrepresent your identity or your authority to bind an organization.

You are responsible for all activity under your account and for maintaining the security of your credentials.

Accounts and Access

The Service is intended for authorized users of a customer organization. You must provide accurate registration information and keep it current. Access may be restricted by role and permissions. You are responsible for ensuring that users you invite are authorized to access the Service and comply with these Terms.

Decision-Support System Disclaimer

Raindex is a decision-support platform. It analyzes the information you provide (including contracts, rate tables, and shipment attributes) and produces recommendations, rankings, and workspace outputs. Raindex does not execute shipments, tender freight, procure carriers, or make decisions on your behalf. You are solely responsible for verifying outputs and for all operational, legal, regulatory, and commercial decisions you make.

Intellectual Property

We and our licensors own the Service, including its software, design, and underlying methods. You retain ownership of data you upload to the Service ("Customer Data"). You grant Raindex a limited license to host, process, and display Customer Data solely to provide and improve the Service.

Subject to these Terms, you may use outputs generated by the Service for your internal business purposes. You may not sell, sublicense, or publicly redistribute outputs in a way that competes with Raindex, except as permitted in a separate written agreement.

Third-Party Services

The Service may integrate with third-party services (for example, authentication, analytics, or cloud infrastructure). Third-party services are governed by their own terms, and Raindex is not responsible for third-party services.

Suspension and Termination

We may suspend or terminate your access to the Service if we reasonably believe there is a security risk, fraud, abuse, or a violation of these Terms; if required by law; or if your subscription lapses or is not paid (if applicable). Where practical, we will provide notice and an opportunity to cure. Upon termination, your right to use the Service stops.

Disclaimers

THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAINDEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OUTPUTS ARE INFORMATIONAL AND MAY CONTAIN ERRORS OR OMISSIONS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RAINDEX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED [LIABILITY_CAP].

Indemnification

You agree to defend, indemnify, and hold harmless Raindex and its affiliates from claims arising out of (a) your Customer Data, (b) your use of the Service in violation of these Terms, or (c) your violation of law or third-party rights.

Changes to Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example, by posting in the Service or emailing the account owner). Continued use after the effective date of updated Terms constitutes acceptance.
